Contract formation

Browsing on our website doesn’t constitute an offer to sell but an invitation to treat. An offer is made when they select, choose a payment option and proceed to check out. The offer is accepted once we inform you by either email or phone that the product has been dispatched. DN Solutions Ltd may ask for certain verification other than phone number and address before prior to accepting your order. The site reserves the right to either cancel or refuse any order for any reason.

Electronic document acceptance

You consent that any communications, disclosures or notices that we offer electronically satisfy all legal requirements of communications that are in writing.

Pricing

We endeavour to ensure accuracy is maintained in terms of pricing but in the event, a product is mispriced due to errors, we reserve the right to cancel or refuse any order regardless of whether the order had been confirmed and the credit/debit card charged. The cancellation communication will be done as soon as possible. There will be a full refund in the event credit/debit was charged and the order cancelled.

Delivery

We endeavour to deliver within the time provided on our website, nonetheless, delays due to certain unforeseen circumstances occur at times as they are inevitable. In the event, there is a delay or failure to deliver in the time provided we bear no liability.DN Solutions Ltd reserves the right to discontinue a free delivery promotion at any time without prior notice and/or to change the amount required for eligibility.

Jurisdiction and application of the law

The T&C are to be governed and interpreted by the Kenyan laws and therefore every party consents to submit to the Kenyan court’s jurisdiction.

Arbitration

Any differences, controversies and disputes that will come up as a result of the interpretation, implementation and performance of these T&C, are bound to be settled through arbitration and there will be an appointment of a single arbitrator based on the regulations provided by the chartered institute of arbitrators. The person to be appointed as an arbitrator shall be an individual who is experienced in information technology and one that is completely independent of both parties. The language to be used in the arbitration is English and the arbitration venue is in Nairobi. The deliberation of the arbitration will be binding and final. Further, the deliberation will be entered in any courts with competent jurisdiction and the enforcement will be in line with chapter no. 4 of the 1995 arbitration act. Finally, the company reserves the right to advance the intellectual property rights and other information that is confidential via injunctive or any other equitable relief provided by a competent court.

Severability

In the event a section of the T&C, in whole or in part, is invalidated or considered unenforceable with any tribunal or court, then that section shall be severed from the terms and conditions of sale and this will not influence the enforceability or validity of other sections provided in this document.
